These PayPal Key Terms and Conditions (“Terms”) apply to your use of PayPal Key (“PayPal Key”). As used in these Terms, “we,” “us,” and “our” refer to Paypal, Inc. (“PayPal”), and with respect to Cash or Cash Plus Account users, The Bancorp Bank, Wilmington, Delaware (“The Bancorp Bank” or “Issuer””). If you are an individual, you must be a resident of the United States or one of its territories and at least 18 years old, or the age of majority in your state of residence to open a U.S. PayPal account and use the PayPal services. If you are a business, the business must be organized in, operating in, or a resident of, the United States or one of its territories to open a U.S. PayPal account and use the PayPal services. The PayPal Key is issued by The Bancorp Bank, a Delaware state-charted bank, Member FDIC. Use of PayPal Key is also subject to the PayPal User Agreement, Acceptable Use Policy, PayPal Privacy Policy and any other legal agreements that apply to you as a PayPal accountholder (collectively, the “Related Agreements”). Use of a PayPal Key constitutes acceptance of these Terms and all Related Agreements.

If any conflict exists between the Terms and any Related Agreements, the Terms shall control with respect to the PayPal Key to the extent of the conflict. We may amend these Terms at any time by posting a revised version on our website. The revised version will be effective at the time we post it. If we change the Terms in a way that reduces your rights or increases your responsibilities, we will provide you with 30 days’ prior notice by posting notice on the “Policy Updates” page of our website.

If you DO NOT have a PayPal Cash or Cash Plus account: Each PayPal Key so-issued is owned by PayPal, and we may offer you the ability to use a PayPal Key to complete transactions.

If you DO HAVE a PayPal Cash or Cash Plus account: See the additional PAYPAL KEY MASTERCARD® AGREEMENT terms below that apply to use of a PayPal Key issued directly to you.

Except as noted, these Terms apply to use of the PayPal Key regardless whether it was issued to you directly or issued to PayPal and made available for you to use.

The PayPal Key allows approved U.S. PayPal accountholders to purchase online from any merchant that displays the Mastercard®, Maestro®, or PULSE® acceptance marks, subject to your daily purchase limit of $10,000.00. These daily limits are subject to periodic review and are subject to change based on your PayPal account history, activity, and other factors. PayPal retains sole discretion to apply and change these limits. Upon issuance of a PayPal Key, an expiration date will be provided and shown to you before each use. The PayPal Key will be replaced prior to expiration.

When you use a PayPal Key to initiate a transaction with an merchant, you authorize PayPal to act as your agent for the limited purpose of completing a payment to that merchant on your behalf, including dealing with any disputes, via the PayPal Key. Authorizations will remain in full force and effect until your PayPal account is closed or terminated. You will remain liable for all transactions pending at the time of any such closure.

When using a PayPal Key to complete a transaction, the payment will be funded via the payment methods available in your PayPal account, which will be used in accordance with the terms of the PayPal User Agreement. Certain transactions may require that a backup funding method be used in the event that your selected or preferred payment method is unavailable or contains insufficient funds. In those instances, you authorize PayPal to charge the other funding instruments in your PayPal wallet. In the event we are unable to recover the amount of any PayPal Key transaction via your available funding sources, you will remain liable to us for the full amount of the transaction and we may take any or all actions described in the PayPal User Agreement.

When you use your PayPal Key to purchase goods or services from a merchant, the merchant may attempt to obtain preauthorization from us for the transaction. If the merchant makes such a request, we place a hold on your Account for up to ten (10) days for the amount of the preauthorization request (which may vary from the amount of the actual purchase, depending on the merchant). This hold may affect the availability of funds in your balance, if you have one, and other funding instruments. If you authorize a transaction and then fail to make a purchase of that item as planned, the approval may result in a hold for that amount of funds for up to thirty (30) days. All transactions relating to car rentals may result in a hold for that amount of funds for up to sixty (60) days. If you use the PayPal Key at a hotel, for a car rental purchase, or for similar purchases, the transaction may be preauthorized for an amount, as determined by the merchant, that can exceed the transaction amount or final payment amount. Preauthorization will place a “hold” on your available funds until the merchant sends us the final payment amount of your purchase. It may take up to ten (10) days for the hold to be removed. During the hold period, you will not have access to the preauthorized amount(s).

We will not be responsible if any transactions are not completed because of the hold. If the preauthorization request varies from the amount of the actual transaction, we will debit the final payment amount from your funding instrument or your balance. This may result in your balance becoming negative if your funding instrument is not approved for the final payment amount and you do not have sufficient balance to cover the difference. You remain responsible for any negative amounts.

If you have a personal PayPal account, you may cancel a recurring automatic payment up to 3 Business Days before the date of the next scheduled payment. You may delete your PayPal Key in your account settings to stop transactions that are not already in process, or you can contact the PayPal Help Center, or you can call PayPal at (888) 221-1161.

Once your PayPal Key is deleted, future payments charged to that PayPal Key by the seller will be stopped. If you cancel an automatic payment, you may still owe the seller money for the purchase or have additional obligations to the seller for any goods or services that you receive but have not paid for.

If you have given advance authorization, either to a seller or to PayPal, that permits a seller to take or receive payments from your PayPal account on a regularly recurring basis (for example, every month or otherwise on a routine billing cycle), and if such payments will vary in amount, you have the right to advance notice of the amount and date of the transfer from the seller at least 10 days before the transfer is made. If the seller provides the option, you may choose to receive this advance notice only when the amount of your automatic payment will fall outside a range established between you and the seller.

Liability for Failure to Stop Payment of Preauthorized Transfer: If you order us to stop one of these payments 3 business days or more before the transfer is scheduled, and we do not do so, we will be liable for your losses or damages.

If you make a purchase in a currency other than United States dollars (USD), or you make a transaction with a merchant located outside the fifty U.S. states or the District of Columbia, a foreign transaction fee of 1.1% of the transaction amount will be applied. Your payment method used to fund a PayPal Key transaction will always be charged in USD. Any currency conversion required will be performed by Mastercard at a foreign exchange rate determined by Mastercard. If the merchant or a third party performs the conversion before sending the transaction to Mastercard, the conversion rate will be determined by the third party with the transaction amount received in USD.

If you choose to use auto-fill functionality in an internet browser in order to populate PayPal Key information on a webpage, PayPal may share certain information with the browser company in order to complete your transaction, including, but not limited to, your name, the PayPal Key information, and your address.

PayPal determines, in its sole discretion, whether to offer any PayPal accountholder the ability to use a PayPal Key to complete a transaction. Approval may be granted or denied generally or on a transaction by transaction basis. PayPal reserves the right to cancel, reverse or suspend any PayPal Key transaction for any or no reason. We may impose additional conditions on the use of a PayPal Key, or cease offering the ability to transact via a PayPal Key, at any time.

Use of the PayPal Key does not provide you with any additional refund rights for your purchases. Neither the Issuer nor PayPal is responsible for the delivery, quality, safety, legality or any other aspects of the goods or services that you purchase from others with the PayPal Key. If you have a problem with a purchase that you made with the PayPal Key, or if you have a dispute with the merchant, you must handle it directly with the merchant.

PayPal’s Purchase Protection Program applies to eligible PayPal Key purchases. If you have a dispute with a PayPal Key purchase that you cannot resolve with the merchant, you have 180 days from the date of the transaction to open a dispute in the Resolution Center. For assistance, log in to your PayPal account and click Help in the top right corner of any PayPal page or please contact us toll free at 1-888-221-1161.

The PayPal Key cannot be used in-store, at an ATM, or for person to person payments. No physical cards are issued in conjunction with PayPal’s PayPal Key. You may not add a PayPal Key to your PayPal account as a funding source for PayPal Key transactions. The PayPal Key cannot be used for any tap, swipe or dip transactions at a point-of-sale terminal. PayPal Key transactions can only be funded by other funding sources linked to your PayPal account. If offered the opportunity by us to do so, you may link a PayPal Key to an account you have with a merchant for purposes of facilitating payments to that merchant. You may not, however, link a PayPal Key to the PayPal wallet as a funding instrument.

PayPal’s Return Shipping on Us service is not available for PayPal Key transactions.
If you believe that a PayPal Key transaction was not authorized by you, or if PayPal Key information has been lost or stolen, please contact PayPal customer service immediately or call: (888) 221-1161 or write: PayPal, Attn: Error Resolution Department, P.O. Please refer to the Liability for Unauthorized Transactions and Other Errors section of the PayPal User Agreement for information on liability for unauthorized transactions, or Your Liability for Unauthorized Transactions in the PAYPAL KEY MASTERCARD AGREEMENT below for Cash and Cash Plus customers.

PAYPAL KEY MASTERCARD® AGREEMENT

If you have a Cash or Cash Plus Account, the PayPal Key is issued directly to you by The Bancorp Bank and the following Agreement applies.

This PayPal Key Mastercard® Agreement (“Agreement”) outlines the terms and conditions under which the PayPal Key has been issued to you by The Bancorp Bank, Wilmington, Delaware (“The Bancorp Bank”, “Issuer”, and/or “we” or “us”). The Issuer is an FDIC-insured member institution. This Agreement supplements, but does not replace, the PayPal User Agreement and other applicable agreements between you and PayPal, Inc. (“PayPal”). This Agreement is provided to you in electronic format pursuant to the Electronic Communications Delivery Policy (/webapps/mpp/ua/esign-full) that you accepted and agreed to when you opened your PayPal account. By accepting and using the PayPal Key, you agree to be bound by the terms and conditions in this Agreement, as well as the terms of the PayPal User Agreement between you and PayPal. “Account” means the records that are maintained to account for the value of claims associated with the PayPal Key. “You” and “your” means the person or persons who have received the PayPal Key and are authorized to use the PayPal Key as provided for in this Agreement. “We,” “us,” and “our” mean the Issuer, our successors, affiliates, assignees and our third-party service providers.

The PayPal Key is the property of the Issuer and must be surrendered upon demand. This can include, but is not limited to, deleting all copies of a PayPal Key number and deleting it from any browser where you have it saved The PayPal Key is not a credit card. The PayPal Key is not for resale. The PayPal Key is nontransferable and it may be canceled or revoked at any time without prior notice subject to applicable law. We may refuse to process any transaction that we believe may violate the terms of this Agreement.

Our business days are Monday through Friday, excluding federal holidays, even if we are open. Any references to “days” found in this Agreement are calendar days unless indicated otherwise. Please read this Agreement carefully and keep it for future reference.

THIS AGREEMENT IS SUBJECT TO MANDATORY ARBITRATION PURSUANT TO THE FEDERAL ARBITRATION ACT. See Section 22 (Arbitration) below.

IMPORTANT INFORMATION ABOUT PROCEDURES FOR USE OF A PAYPAL KEY.

1. Your representations and warranties. By using the PayPal Key or by authorizing the use of the PayPal Key, you represent and warrant to us that: (i) if you are an individual, you are at least 18 years of age (or older if you reside in a state where the majority age is older); (ii) if you are an individual, you are a U.S. citizen or legal alien residing in the fifty (50) states of the United States (“U.S.”) or the District of Columbia; (iii) if you are a business, the business must be organized in, operating in, or a resident of, the United States or one of its territories to open a U.S. PayPal account and use the PayPal services; (iv) you have provided us with a verifiable U.S. street address (not a P.O. Box); (v) the personal and/or business information that you provide to us in connection with the PayPal Key is true, correct and complete; (v) you received a copy of this Agreement and agree to be bound by and to comply with its terms; and (vi) you accept the PayPal Key.

2. Using the PayPal Key.

2.1 Purchases. You may use the PayPal Key at any online merchant that displays the Mastercard®, Maestro®, or PULSE® acceptance marks, subject to your daily purchase limit.

2.2 Spending Limits. There is a standard daily limit of $10,000.00 for purchases. These daily limits are subject to periodic review and are subject to change based on your PayPal account history, activity, and other factors. PayPal retains sole discretion to apply and change these limits.

2.3 Authorization Holds.

When you use your PayPal Key to purchase goods or services from a merchant, the merchant may attempt to obtain preauthorization from us for the transaction. If the merchant makes such a request, we place a hold on your Account for up to ten (10) days for the amount of the preauthorization request (which may vary in some cases from the amount of the actual purchase, depending on the merchant). This hold may affect the availability of funds in your balance and other funding instruments. If you authorize a transaction and then fail to make a purchase of that item as planned, the approval may result in a hold for that amount of funds for up to thirty (30) days. All transactions relating to car rentals may result in a hold for that amount of funds for up to sixty (60) days. If you use the PayPal Key at a hotel, for a car rental purchase, or for similar purchases, the transaction may be preauthorized for the purchase amount plus up to 20% to ensure there are sufficient funds available to cover tips or incidental expenses incurred. Preauthorization will place a “hold” on your available funds until the merchant sends us the final payment amount of your purchase. It may take up to ten (10) days for the hold to be removed. During the hold period, you will not have access to the preauthorized amount(s). We will not be responsible if any transactions are not completed because of the hold. If the preauthorization request varies from the amount of the actual transaction, we will debit the actual transaction amount from your balance, even if this results in your balance becoming negative. You remain responsible for any negative amounts.

You can agree with a seller who accepts PayPal to use PayPal as the payment method for future purchases with that seller. This agreement is between you and the seller and allows you to pay the seller on a one-time, recurring or sporadic basis. Examples of automatic payments that can be arranged by you either with a seller or with PayPal include those that PayPal calls a “billing agreement,” “subscription,” “recurring payment,” “reference transaction,” “preauthorized transfer” or “preapproved payment.”

If you have a personal PayPal account, you may cancel a recurring automatic payment up to 3 Business Days before the date of the next scheduled payment from your account settings or by contacting us through the PayPal Help Center, or by calling PayPal at (888) 221-1161.

Once your automatic payment is canceled, all future automatic payments under your agreement with that seller will be stopped. If you cancel an automatic payment, you may still owe the seller money for the purchase or have additional obligations to the seller for any goods or services that you receive but have not paid for.

If you have given advance authorization, either to a seller or to PayPal, that permits a seller to take or receive payments from your PayPal account on a regularly recurring basis (for example, every month or otherwise on a routine billing cycle), and if such payments will vary in amount, you have the right to advance notice of the amount and date of the transfer from the seller at least 10 days before the transfer is made. 2.4. Foreign Transactions.

If you make a purchase in a currency other than United States dollars (USD), or you make a transaction with a merchant located outside the fifty U.S. states or the District of Columbia, a foreign transaction fee of 1.1% of the transaction amount will be applied. Your payment method used to fund a PayPal Key transaction will always be charged in USD. Any currency conversion required will be performed by Mastercard at a foreign exchange rate determined by Mastercard. If the merchant or a third party performs the conversion before sending the transaction to Mastercard, the conversion rate will be determined by the third party with the transaction amount received in US dollars.

3. Authorized Users. You are responsible for all authorized transactions initiated and fees incurred by use of the PayPal Key. If you permit another person to have access to the PayPal Key or PayPal Key number, we will treat this as if you have authorized such use and you will be liable for all transactions and fees incurred by those persons.

4. Secondary PayPal Keyholder. You may not request an additional PayPal Key for another person.

5. Returns and Refunds. If you are entitled to a refund for any reason for goods or services obtained with the PayPal Key, you agree to the refund policy of the merchant. Neither the Issuer nor PayPal is responsible for the delivery, quality, safety, legality or any other aspects of the goods or services that you purchase from others with the PayPal Key. If you have a problem with a purchase that you made with the PayPal Key, or if you have a dispute with the merchant, you must handle it directly with the merchant.

6. Confidentiality. We may disclose information to third parties about your PayPal Key or the transactions you make:

a. Where it is necessary for completing transactions;

b. In order to verify the existence and condition of the PayPal Key for a third party, such as a merchant;

c. In order to comply with government agency, court order, or other legal, regulatory or administrative reporting requirements;

d. If you consent by giving us your written permission;

e. To our employees, auditors, affiliates, service providers, or attorneys as needed; or

f. Otherwise as necessary to fulfill our obligations under this Agreement.

7. Our Liability for Failure to Complete Transactions. If we do not properly complete a transaction from the PayPal Key on time or in the correct amount according to this Agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:

a. If through no fault of ours, you do not have enough funds available in your funding instrument to complete the transaction;

b. If a merchant refuses to accept the PayPal Key;

c. If access to the PayPal Key has been blocked for any reason;

d. If there is a hold or your funds are subject to legal or administrative process or other encumbrance restricting their use;

e. If we have reason to believe the requested transaction is unauthorized;

f. If circumstances beyond our control (such as fire, flood, or computer or communication failure) prevent the completion of the transaction, despite reasonable precautions that we have taken; or

g. Any other exception stated in our Agreement with you.

8. Your Liability for Unauthorized Transfers. Contact us at once if you believe the PayPal Key has been lost or stolen. Telephoning is the best way to minimize your possible losses. If you believe the PayPal Key has been lost or stolen, or that someone has transferred money or may transfer money from your balance without your permission, call 844-896-4937. Under Mastercard Rules, you will not be held responsible for unauthorized transactions if you have used reasonable care in protecting your PayPal Key from loss or theft and you have promptly reported to us when you knew that your PayPal Key was lost or stolen. Zero Liability does not apply to Mastercard payment cards that are used for commercial purposes, or anonymous prepaid cards (until such time as the identity of the cardholder has been registered with us). In the event that Mastercard Zero Liability does not apply, if you notify us within two (2) business days after you learn of any unauthorized transactions, you can lose no more than $50.00 if someone used your PayPal Key without your permission. If you do not notify us within two (2) business days after you learn of the loss or theft of your PayPal Key and we can prove that we could have stopped someone from using your PayPal Key without your permission if you had promptly notified us, you could lose as much as $500.00.

Also, if you become aware of and/or your statement shows transactions that you did not make, notify us at once following the procedures stated in Section 12 (Information About Your Right to Dispute Errors). If you do not notify us within sixty (60) days after you become aware of the transaction and/or after the statement was made available to you, you may not get back any value you lost after the sixty (60) days if we can prove that we could have stopped someone from taking the value if you had notified us in time. If a good reason (such as a long trip or hospital stay) kept you from telling us, we will extend the time periods. If the PayPal Key has been lost or stolen, we will close the PayPal Key Account to keep losses down and will send a replacement PayPal Key.

9. Right to Receipts and Periodic Statements. You should get a receipt at the time you make a transaction with the PayPal Key. You have the right to receive an account statement at least quarterly showing your PayPal activity, including a record of transactions made using the PayPal Key. You may view your PayPal statement by logging into your PayPal account at https://www.paypal.com/us/signin.

10. Other Miscellaneous Terms. The PayPal Key and your obligations under this Agreement may not be assigned. We may transfer our rights under this Agreement. Use of the PayPal Key is subject to all applicable rules and customs of any clearinghouse or other association involved in transactions. We do not waive our rights by delaying or failing to exercise them at any time. If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law, or regulation of any governmental agency, local, state, or federal, the validity or enforceability of any other provision of this Agreement shall not be affected. This Agreement will be governed by the law of the State of Delaware except to the extent governed by federal law.

11. Amendment and Cancellation. We may amend or change the terms and conditions of this Agreement by posting a revised version on our website at www.paypl.com/us/webapps/mpp/ua/ppkey and any such amendment shall be effective upon such posting to that website. You will be notified of any change in the manner provided by applicable law prior to the effective date of the change. However, if the change is made for security purposes, we can implement such change without prior notice. We may cancel or suspend your PayPal Key or this Agreement at any time. Your termination of this Agreement will not affect any of our rights or your obligations arising under this Agreement prior to termination.

12. Information About Your Right to Dispute Errors.

12.1 Protection for Unauthorized Transactions and Other Errors. When an Unauthorized Transaction or Other Error occurs with the PayPal Key, including Unauthorized Transactions that occur because the PayPal Key has been lost or stolen, we will cover you for the full amount of every eligible Unauthorized Transaction or Other Error, as long as you follow the procedures discussed below in Section 12.2 (Notification Requirements) or the PayPal User Agreement, as appropriate.

An “Unauthorized Transaction” is a type of error that occurs when the PayPal Key is used without your authorization and did not benefit you. For example, if someone steals the PayPal Key and makes purchase, an Unauthorized Transaction has occurred. If you give someone the PayPal Key, give someone permission to use the PayPal Key, or give someone access to use the PayPal Key, you will be responsible for all transactions conducted by them with the PayPal Key even if they conducted more or different transactions than you authorized, unless you notified us following the procedures of Section 12.2 that transactions by that person are no longer authorized.

In addition, “Other Errors” occur when transactions using the PayPal Key are incorrectly recorded. Other Errors that are covered by us are limited to a transaction is missing from or not properly identified in the PayPal Key statement or if there is a computational or mathematical error by us.

You may request documentation or information regarding the PayPal Key or a transaction(s) to determine whether an Unauthorized Transaction or Other Error exists by contacting PayPal through the Contact Us link at the bottom of each page of the PayPal website.

12.2 Notification Requirements. In case of errors or questions about your electronic transactions, call 844-896-4937 or write to PayPal Key Department, Attn: Dispute Resolution, P.O. Box 45950, Omaha, NE 68145-0950, if you think your statement or receipt is wrong or if you need more information about a transaction listed on the statement or receipt. We must allow you to report an error until sixty (60) days after the earlier of the date you electronically access the PayPal Key, if the error could be viewed in your electronic history, or the date we sent the FIRST written history on which the error appeared. You may request a written history of your transactions at any time by calling 844-896-4937 or writing to PayPal Key Department, Attn: Dispute Resolution, P.O. Box 45960, Omaha, NE 68145-0950. You will need to provide:

a. Your name and the 16-digit PayPal Key number

b. Why you believe there is an error, and the dollar amount involved

c. Approximately when the error took place.

If you provide this information orally, we may require that you send your complaint or question in writing within ten (10) business days.

We will determine whether an error occurred within ten (10) business days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) days to investigate your complaint or question. If we decide to do this, we will credit the funding instrument utilized or your PayPal Account within ten (10) business days for the amount you think is in error, so that you will have the use of the money during the time it takes to complete the investigation. If we ask you to put your complaint or question in writing and you do not provide it within ten (10) business days, we may not credit the funding instrument or your PayPal Account.

For errors involving new accounts, point-of-sale, or foreign-initiated transactions, we may take up to 90 days to investigate your complaint or question. For new accounts, we may take up to 20 business days to credit your account for the amount you think is in error.

We will tell you the results within three (3) business days after completing the investigation. If we decide that there was no error, we will send you a written explanation. Copies of the documents used in the investigation may be obtained by contacting us at the phone number or address listed at the beginning of this section. If you need more information about our error-resolution procedures, call 844-896-4937 during the hours listed below in Section 19 (Customer Service).

12.3 Processing Errors.

We will rectify any processing error that we discover. If the error results in your receipt of less than the correct amount to which you are entitled, we will credit the funding instrument or your PayPal Account for the difference. If the error results in your receipt of more than the correct amount to which you are entitled, we will debit the extra funds from the PayPal Key Account. If the error resulted in our not completing a transaction on time or in the correct amount, we will be liable for your losses or damages directly caused by this failure, unless: (a) through no fault of ours, you did not have enough available funds to complete the transaction, (b) our system was not working properly and you knew about the breakdown when you started the transaction, or (c) circumstances beyond our control (such as fire, flood or loss of Internet connection) prevented the transaction, despite our reasonable precautions.

13. English Language Controls. Any translation of this Agreement is provided for your convenience. The meanings of terms, conditions and representations herein are subject to definitions and interpretations in the English language. Any translation provided may not accurately represent the information in the original English.

15. Telephone Monitoring/Recording. From time to time we may monitor and/or record telephone calls between you and us to assure the quality of our customer service or as required by applicable law.

16. No Warranty Regarding Goods or Services as Applicable. We are not responsible for the quality, safety, legality, or any other aspect of any goods or services you purchase with the PayPal Key.

17. Arbitration. Any claim, dispute, or controversy (“Claim”) arising out of or relating in any way to: i) this Agreement; ii) the PayPal Key; iii) your acquisition of the PayPal Key; iv) your use of the PayPal Key; v) the amount of available funds in the PayPal Key Account; vi) advertisements, promotions or oral or written statements related to the PayPal Key, as well as goods or services purchased with the PayPal Key; vii) the benefits and services related to the PayPal Key; or viii) transactions on the PayPal Key, no matter how described, pleaded or styled, shall be FINALLY and EXCLUSIVELY resolved by binding individual arbitration conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. If this section conflicts in any way with the Agreement to Arbitrate section of the PayPal User Agreement, this section will control with respect to any Claim. This arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (9 U.S.C. 1-16).

We will pay the initial filing fee to commence arbitration and any arbitration hearing that you attend shall take place in the federal judicial district of your residence.

ARBITRATION OF YOUR CLAIM IS MANDATORY AND BINDING. NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM THROUGH A COURT. IN ARBITRATION, NEITHER PARTY WILL HAVE THE RIGHT TO A JURY TRIAL OR TO ENGAGE IN DISCOVERY, EXCEPT AS PROVIDED FOR IN THE AAA CODE OF PROCEDURE.

All determinations as to the scope, interpretation, enforceability and validity of this Agreement shall be made final exclusively by the arbitrator, which award shall be binding and final. Judgment on the arbitration award may be entered in any court having jurisdiction.

NO CLASS ACTION, OR OTHER REPRESENTATIVE ACTION OR PRIVATE ATTORNEY GENERAL ACTION OR JOINDER OR CONSOLIDATION OF ANY CLAIM WITH A CLAIM OF ANOTHER PERSON OR CLASS OF CLAIMANTS SHALL BE ALLOWABLE.

This arbitration provision shall survive: i) the termination of the Agreement; ii) the bankruptcy of any party; iii) any transfer, sale or assignment of the PayPal Key, or any amounts owed on the PayPal Key Account, to any other person or entity; or iv) expiration of the PayPal Key. If any portion of this arbitration provision is deemed invalid or unenforceable, the remaining portions shall remain in force.

IF YOU DO NOT AGREE TO THE TERMS OF THIS ARBITRATION AGREEMENT, DO NOT USE THE PAYPAL KEY OR CANCEL IT. YOU MAY CANCEL THE PAYPAL KEY BY CALLING CUSTOMER SERVICE AT 844-896-4937.
